Bylaws for the Regulation, Except as Provided by Statue or its Declaration of Trust
of Hindu Heritage Endowment
ARTICLE I
Offices
Section 1. PRINCIPAL OFFICE: The principal office for the transaction of business of the Foundation is hereby fixed and located at 107 Kaholalele Road, Kapaa, Hawaii. The Board of Trustees is hereby granted full power and authority to change said principal office from one location to another.
Section 2. OTHER OFFICES: Branch or subordinate offices may at any time be established by the Board of Trustees at any place in any country where the Foundation is qualified to engage in its activities.
ARTICLE II
Meetings of the Board of Trustees
Section 1. PLACE: The regular business meetings of this Foundation shall be held at 107 Kaholalele Road, Kapaa, Hawaii and shall be monthly or at the direction and call of the chairperson.
Section 2. SPECIAL MEETINGS: Special meetings for any purpose whatsoever may be called at the discretion of the chairperson or the secretary or treasurer in the event of the chairperson's absence.
Section 3. VOTING: All trustees shall have the exclusive right to vote. The unanimous vote of the Board of Trustees shall be binding on the entire organization. A vote may be submitted in person, in writing, over the phone or by electronic mail or cable.
Section 4. QUORUM: The presence of any two members of the Board of Trustees shall constitute a quorum for the transaction of normal business. However, the presence of all trustees is required for amending the Declaration of Trust or Bylaws.
ARTICLE III
Powers of Trustees
Section 1. TRUSTEES: It is hereby expressly declared that the Trustees shall have the following powers, to wit:
1.) To make the Foundation known to individuals and organizations in Hindu religious communities throughout the world and to solicit gifts from such individuals and organizations, as well as any other sources the Trustees deem appropriate.
2.) To determine if prospective grant beneficiaries qualify according to the purposes of the Foundation and the requirements of the IRS for 501 (c) (3) within the USA and non 501 (c) (3) beneficiaries outside of the USA.
3) To maintain appropriate documentation on all beneficiary organizations.
4) To maintain accurate records for all contributions received, endowments created and grants made.
5.) To monitor the annual investment performance of the investment manager(s).
6.) To prepare and distribute an annual report.
7.) To utilize all general administrative powers listed in Article 6.1 of the Declaration of Trust.
ARTICLE IV
Trustees
Section 1. CHAIRMAN: It shall be the duty of the chairman to preside at all meetings of the trustees unless the chairman shall choose to appoint the secretary or the treasurer over any of such meetings.
1.) The chairman shall have the general supervision of the officers and the business of the trust.
Section 2. SECRETARY: It shall be the duty of the secretary to perform the duties of the chairperson during periods of the chairperson's absence, unless the chairperson has instructed the treasurer to perform such duties.
1.) The secretary shall keep a correct record of all meetings of the Foundation. He shall sign all papers, and attend to all correspondence under the direction of the Board of Trustees.
Section 3. TREASURER: It shall be the duty of the treasurer to keep a correct account of all contributions received, endowments created and grants made.
1.) He shall perform all duties incident to the office of treasurer subject to the control of the Board of Trustees.
2.) Upon leaving office by resignation, or otherwise, he shall furnish a statement of all disbursements made during his term of office, turn over all monies, property, records and other effects of the Foundation entrusted to his keeping to his successor in office, the Board of Trustees, or to the Foundation itself.
Section 4. ASSISTANT SECRETARY: It shall be the duty of the assistant secretary to assist the secretary in the performance of his duties.
ARTICLE V
Grant Making Authority
Section 1.
1.) The making of grants and contributions and otherwise rendering financial assistance for the purposes expressed in the Declaration of Trust shall be within the exclusive power of the Board of Trustees.
2) In furtherance of the organization's purposes, the Board of Trustees shall have power to make grants to any organization organized and operated exclusively for charitable, scientific or educational purposes within the meaning of section 501 (c) (3) of the Code.
3) The Board of Trustees shall review all requests for funds from other organizations, shall require that such requests specify the use to which the funds will be put, and if the Board of Trustees approves the request, shall authorize payment of such funds to the approved grantee.
4) The Board of Trustees shall also review all requests from contributors to establish endowments to provide funds to other organizations, shall require that such requests specify the use to which the funds will be put, and if the Board of Trustees approves the request, shall authorize payment of such funds to the approved grantee.
5.) The Board of Trustees shall require that grantees outside of the USA furnish a periodic accounting to show that the funds were expended for the purposes which were approved by the Board of Trustees.
6,) The Board of Trustees may, in its absolute discretion, refuse to make any grants or contributions or otherwise render financial assistance to or for any or all the purposes for which funds are requested.
7.) The Board of Trustees may, in its absolute discretion, also refuse to make any grants or contributions or otherwise render financial assistance to or for any or all the purposes for which funds have been given by contributors.
ARTICLE VI
Agencies and Committees
Section 1. AGENCIES: Agencies to implement the purposes of the Foundation shall be formed and be approved by the Board of Trustees.
Section 2. COMMITTEES: Committees to implement the purposes of the Foundation shall be formed and be approved by the Board of Trustees.
ARTICLE VII
Seal
The Seal of the Foundation shall be a graphic of "six parallel lines with curled ends contained in a large circle with the title of the Foundation."
ARTICLE VIII
Jurisdiction of the Board of Trustees
The Board of Trustees shall have full administrative jurisdiction of Hindu Heritage Endowment and its decisions shall stand as the judgment in all affairs and business of the Foundation.
ARTICLE IX
Affiliations
Section 1. The Foundation shall not affiliate with any other organization which would in any case, or under any circumstances, have the power to confiscate the money or property of HHE or which would have control of any dissolution proceeding of the HHE.
ARTICLE X
Dissolution
Section 1. DISSOLUTION: In the event of a dissolution of the Foundation, all of the money and property of HHE shall be disposed of at a meeting of the Board of Trustees.
ARTICLE XI
Amendments
Section 1. New Bylaws may be adopted by a unanimous vote of the Board of Trustees at any regular or special meeting.
Section 2. The Bylaws herein contained may be repealed or amended by a unanimous vote of the Board of Trustees at any regular or special meeting.
